EXPERIENCES
Led on a journey through the history of the iconic Irish red ale by a local Kilkenny tour guide, your guests will be immersed in the story of Smithwick’s told as only a local knows how. The passion of the guides is what makes this experience like no other; combining over 300 years of Smithwick’s history, with the extraordinary brewing innovations that makes it the brand we see today. The visit finishes in the intimate surroundings of the Smithwick’s Experience bar, unequivocally Irish in its setting, where your guests will be treated to a pint of Smithwick’s Red Ale and understand why it has become Ireland’s most popular ale.

BACKGROUND (A) MKF Property Services Limited (“MKF”) is engaged by Guinness Storehouse Limited to operate and sell tickets for tour experiences at the Smithwick’s Experience Kilkenny (“SEK”) in Dublin. (B) The Smithwicks Experience Kilkenny is operated by MKF Property Services Ltd., registered number 442608 at registered address Building 2, Kilcarbery Park, Nangor Road Dublin 22, Dublin. (C) The Customer wishes to purchase tickets from MKF for the Smithwick’s Experience Kilkenny.
DEFINITIONS AND INTERPRETATION In this Agreement: “Visitor” means person(s) who purchase tickets from the Customer in order to attend a SMITHWICK’S EXPERIENCE KILKENNY tour. “Commencement Date” means dates set out in Schedule 2
TICKETS MKF will honour a ticket issued by the Customer for a visit to SEK which the Customer sells to a Visitor The ticket is inclusive of a guided tour and a pint of Smithwick’s Red Ale® or the optional upgraded paddle of beer (over 18 years old only) or a soft drink. The ticket must be presented either in hard copy or digital format on arrival, to be exchanged for a ticket issued by MKF.
OPENING TERMS MKF will use reasonable endeavours to ensure that SEK and all of its exhibits/displays are open for use by visitors during the opening hours noted on SEK’s website. However, MKF reserves the right, in its absolute discretion, whether for safety reasons or otherwise, and with or without prior notice, to close SEK or any part of it. In the event of such closure, MKF will refund any Visitor the cost of his or her prepaid ticket. Otherwise MKF shall have no liability whatsoever, including no liability for travel expenses or any other out of pocket expenses, in respect of closure of part or all of SEK.

ARRANGEMENT All Visitor tours are guided in groups of 20. Private tours are available at an additional charge, and are subject to availability. Please contact the following email address: info.Smithwicksexperience@diageo.com to enquire.
LATE POLICY If the Customer is unable to keep to the agreed arrival time booked or if the Customer is more than 1 hour late or early, they agree to inform MKF in advance by calling the tour desk directly at +353 56 778 6377 or to email info.Smithwicksexperience@diageo.com. While MKF will do its best to accommodate any group that arrives, MKF cannot guarantee that it will be in a position to grant access to the Experience.
NO SHOWS AND CANCELLATIONS Any advance booking is binding and will be charged in full three days in advance of visit. It is therefore imperative that the Customer confirms the final numbers in advance of this period. Cancellation more than three days before arrival will result in no charge. Cancellation less than 3 days prior to arrival or “no show” will incur a charge of 100% of the fees.
VISITOR BEHAVIOUR MKF reserve the right, in its absolute discretion, to refuse entry on to or remove from its premises or the vicinity any person who has behaved in a manner, which, in the opinion of MKF has, or is likely to affect the safety or enjoyment of other visitors. Has used threatening, abusive or insulting words or behaviour or in any way provokes or behaves in a manner which may provoke a breach of the peace. Is thought to be under the influence of alcohol or other substances. Visitors are expected to respect and conform to local laws and customs. Any behaviour likely to cause annoyance to other visitors or confusion of any kind is not permitted within SEK. Any removal from the premises or refusal of entry shall be without refund and he/she must meet any expenses incurred as a result of such behaviour.
SITE RULES Visitors must comply at all times with SEK Site Rules. Pets or animals of any nature (with the exception of guide dogs and hearing dogs) are expressly prohibited within SEK. Only food and beverage purchased from MKF may be consumed in SEK .
AGREEMENT REMIT The remit of this agreement is for Visitor Experience only bookings. It excludes, catering, room hire, retail store purchases and gift voucher payment.
PROMOTION AND LICENCE Customer may promote and market SEK in its sales materials in order to sell tickets pursuant to this Agreement. For that purpose, but for no other purpose, MKF ( as an agent of Diageo) grants to Customer a worldwide, non-transferable non-exclusive, right and licence to use, publish, and advertise Smithwicks and The Smithwicks Experience Kilkenny names and logos in the Customer’s sales materials, provided however that the Customer may not make any changes, adaptations or variations whatsoever in the names or logos without the express advance written permission of SEK’s Marketing Department. The Customer acknowledges and undertakes that Diageo “Diageo” (and the wider Diageo group as applicable) retains all SEK intellectual property rights, including but not limited to its trade marks, and that Diageo may at its discretion withdraw such licence (in whole or in part) at any time. The Customer will not do anything to damage or anything which is likely to damage or dilute any of SEK or Diageo’s trade marks or SEK or Diageo’s name or reputation, or those of its products, and shall not apply to register or use any of the trade marks or anything similar to it, or encourage or assist third parties to do so. The Customer will promote and market SEK in line with local applicable law, including but not limited to the Public Health (Alcohol) Act 2018 and all Regulations thereunder.
CHILD POLICY The child policy is outlined in the Purchase T&Cs as set out on the SEK website and updated from time to time. The child policy is also available here: (https://www.smithwicksexperience.com/tickets_terms-conditions-purchase).The booking system will detail the ratio of children to adults.
CONFIDENTIALITY MKF and Customer each undertake that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party or its affiliates, “Confidential Information”, except as permitted in this clause. Each party may disclose the other party’s Confidential Information: (a) as may be required by applicable law and relevant authorities; and (b) to its employees, officers, representatives, contractors, subcontractors or advisers who need to know such information for the purposes of exercising the party’s rights or carrying out its obligations under or in connection with this Agreement. Each party shall ensure that its employees, officers, representatives, contractors, subcontractors, or advisers to whom it discloses the other party’s Confidential Information comply with this clause. Neither party shall use the other party’s Confidential Information for any purpose other than the performance of its obligations and exercise of its rights under this Agreement. The Customer’s obligations under this clause shall continue in force after the termination of the Agreement for two (2) years. For avoidance of doubt, failure to comply with this clause infringes the terms and conditions of this Agreement and will entitle MKF to terminate the Agreement immediately without compensation to the Customer.
STATUTORY OBLIGATIONS The Customer will comply with all applicable laws, enactments, orders, regulations, rules, and codes of practice (including but not limited to the Package Holidays and Travel Trade Act 1995 and any regulations thereunder) and will ensure that its staff are familiar with the same. The Customer will ensure that any advertising it undertakes in connection with this Agreement will comply with the provisions of the Public Health (Alcohol) Act 2018 and all Regulations thereunder (as such Act is varied, amended, or substituted from time to time). The Customer acknowledges that it has received a copy of the below codes and agrees to act (and to ensure that its employees and any third parties whom it engages to assist in connection with this Agreement act) in accordance with the following codes and policies (as these may be updated and varied from time to time): Code of Business Conduct; Partnering with Suppliers; Diageo Marketing Code; and such other relevant policies as may be notified by MKF to the Customer from time to time.The Customer will have particular regard to the terms of the Digital Marketing Code and how this will impact on any marketing and/or advertising carried out in connection with this Agreement. Nothing in this Agreement will create, or be deemed to create, a partnership or the relationship of principal and agent or employer and employee between MKF and the Customer. Nothing in this Agreement shall create an exclusive arrangement between MKF and the Customer.
FORCE MAJEURE Neither party shall be deemed to be in breach of this Agreement, or otherwise be liable to the other, by reason of any delay in performance, or non-performance, of any of its obligations hereunder to the extent that such delay or non-performance is due to any reason beyond its reasonable control of which it has notified the other party, and the time for performance of that obligation shall be extended accordingly.
TERMINATION The Agreement shall commence on the Commencement Date and shall continue for 12 months (the “Initial Period”). Following the Initial Period MKF may extend the Agreement for a further 12 month period and for further 12 month periods thereafter, in each case by giving notice to the Customer to that effect with an accompanying notice of amendments to the rates Either party shall be entitled to terminate this agreement by giving the other party one month’s prior written notice. MKF may terminate the Agreement immediately, by written notice without any liability to the Customer, if: (a) the Customer makes any arrangement with its creditors, becomes subject to an administration order, or goes into bankruptcy, liquidation, or receivership; (b) a receiver, trustee or liquidator is appointed over any of the Customer’s property or assets; (c) anything or any step equivalent to the matters referred to in clauses (a) or (b) above occurs in any other jurisdiction; (d) the Customer becomes unable to pay its debts generally as they become due, or ceases or threatens to cease to carry on business; (e) MKF reasonably considers that any of the events set out in clauses (a) to (d) is about to occur to the Customer; or (f) the Customer is in material breach of any of the terms of this Agreement and where the breach is capable of remedy, has not remedied the breach within 30 days of receiving notice requiring the breach to be remedied.
LIABILITY The Agreement shall commence on the Commencement Date and shall continue The Purchase T&Cs as set out on the SEK website and updated from time to time (https://www.smithwicksexperience.com/tickets_terms-conditions-purchase) are incorporated by reference into this Agreement. The Customer acknowledges that all visitors will be admitted to the Smithwicks Experience Kilkenny subject to these terms and shall ensure that visitors acknowledge that they agree to be bound by these terms. MKF shall not be liable to the Customer, whether in contract, tort, under statute or otherwise (including in each case negligence) for any direct losses, loss of profits, business contracts, anticipated savings, goodwill, revenue, any special, indirect or consequential loss or damage whatsoever, whether or not MKF was advised in advance of the possibility of such loss or damage. Nothing in this Agreement shall exclude or in any way limit either party’s liability for fraud, death or personal injury caused by its negligence or any other liability to the extent the same may not be excluded or limited as a matter of law.
DATA PROTECTION 1. Definitions For the purposes of this clause, the following terms have the following meanings: “controller”, “data subject”, “international organisation”, “personal data”, “personal data breach”, “processing”, “processor” and “supervisory authority” each have the meaning given in Data Protection Laws (and related terms such as “process” and “processed” shall be construed accordingly); “Data Protection Laws” means all applicable laws relating to the processing, privacy and/or use of personal data, as applicable to either party from time to time, including the following to the extent applicable: (i) the GDPR; (ii) in relation to the United Kingdom, the Data Protection Act 2018; (iii) any laws which implement any such laws; and (iv) any laws which replace, extend, re-enact, consolidate or amend any such laws at any time; “Data Subject Request” means a request made by a data subject to exercise any rights of data subjects under Data Protection Laws; “GDPR” means, as applicable to either party from time to time: (i) the General Data Protection Regulation, Regulation (EU) 2016/679; or (ii) the General Data Protection Regulation, Regulation (EU) 2016/679 as it forms part of domestic law in the United Kingdom by virtue of section 3 of the European Union (Withdrawal) Act 2018 (including as further amended or modified by the laws of the United Kingdom or a part of the United Kingdom from time to time); and “SubProcessor” means another processor engaged by the Customer (or by any other Sub-Processor) for carrying out any processing activities in respect of personal data on behalf of MKF or any of its affiliates. 2. Disclosure of Data 2.1 MKF and the Customer may disclose personal data to each other to process strictly for the purposes of or in connection with the sale of tickets to The Smithwicks Experience Kilkenny (“The Personal Data”) 3.Relationship of the Parties 3.1 The parties acknowledge that MKF and the Customer are separate independent data controllers of The Personal Data which may be passed by one party to the other. In no event will the parties process The Personal Data as joint controllers. 4. Compliance with the Law 4.1 Each party shall be individually and separately responsible for complying with the obligations that apply to it as a controller under Data Protection Legislation. In particular (and without limitation) - each party shall be responsible for complying with all necessary transparency and lawfulness requirements under Data Protection Legislation in order to disclose The Personal Data to the other. 5. Security 5.1 Each Party shall implement reasonable and appropriate technical and organisational measures to protect The Personal Data from (i) accidental or unlawful destruction, and (ii) loss, alteration, unauthorised disclosure of, or access to The Personal Data (“a Security Incident”). 5.2 Customer shall, as soon as practicable (and in any event no later than 72 hours) on becoming aware of any suspected, potential or actual Security Incident, including any suspected, alleged, potential, or actual personal data breach, notify MKF and the MKF Authorised Representative in writing and with a copy to derek.oboyle@mkf.ie For the avoidance of doubt this includes, any unauthorised disclosure, loss, destruction, compromise, damage, alteration, access or theft of The Personal Data (including unauthorised access to or use of Customer’s systems or data, improper handling or disposal of data, theft of information or technology assets, and/or the inadvertent or intentional disclosure of The Personal Data) or any incident or set of events which may give rise to a personal data breach under applicable Data Protection Legislation. Such notification must include, at a minimum, detail on the nature of the personal data breach including the categories and approximate number of data subjects and number of personal data records concerned; detail on the likely consequences and the measures to be taken or proposed to be taken to address the personal data breach, including measures to mitigate possible adverse effects. Customer shall also provide details of its Data Protection Officer or other contact point where MKF may obtain more information. 6. Subcontracting 6.1 Customer may not subcontract processing of The Personal Data without prior written permission form MKF. 7. Cooperation 7.1 In the event that either party receives any correspondence, enquiry or complaint from a data subject, regulatory or other third party (“Correspondence”) related to The Personal Data it shall promptly inform the other party giving full details of the same, and the parties shall cooperate reasonably and in good faith in order to respond to the Correspondence in accordance with any requirements under Data Protection Legislation.
GOVERNING LAW AND JURISDICTION This Agreement and any non-contractual obligations arising out of or in relation to this Agreement shall be governed by and construed in accordance with Irish law and subject to the exclusive jurisdiction of the Irish Courts.

There is a three day cancellation policy for Smithwick's Experience. You will receive a reminder at 10 days and 5 days prior to the visit date. If your booking is not confirmed by payment at 3 days, it will be automatically cancelled.
